End User Licence Agreement

Annolyzer 1.0.0 · macOS

Important — read before accepting

This End User License Agreement (Agreement) is between you and Lee Tagg Pty Ltd as trustee for the Tagg Family Trust, ABN 63 193 632 093, trading as The Mix Bus (Developer, we, us).

The Agreement consists of the product schedule and The Mix Bus common terms. The schedule identifies the specific compiled software version and build covered by this license (Software or Covered Release), any platform-specific conditions, and any separate service requirements. It does not include other versions, builds or product schedules unless expressly identified.

By selecting “I agree,” or installing or using the Software after being given these terms and a reasonable opportunity to review them, you agree to this Agreement to the extent that such acceptance is recognized by applicable law. If accepting for an organization, you confirm that you are authorized to bind it; “you” then means that organization. If you do not agree, do not install or use the Software.

Annolyzer — Product Schedule

Schedule version: 1.0
Effective date: 10 September 2026
Covered Release version: 1.0.0
Covered build(s) and platform(s): Annolyzer 1.0.0 — build 1.0.0, macOS
Common terms: The Mix Bus — Common End User License Agreement, version 1.0, supplied with this schedule.

This schedule and the identified common terms together form the license for the Software below. This schedule is not a standalone agreement. See the Common End User License Agreement below.

1. Software and release scope

Annolyzer, the annotatable audio spectrum-analyzer plugin distributed by The Mix Bus. Only the version and build(s) identified above are the Covered Release under this Agreement.

This schedule applies only to the identified platform builds and their supplied plugin formats. It does not promise availability in additional formats or include later releases, updates or editions. Future versions of Annolyzer may have different prices and terms, whether or not they carry a different product name.

2. Price and permitted use

The Covered Release of Annolyzer is free to use under a perpetual license as described in section 2 of the common terms, not a time-limited trial. This is not a promise that future Annolyzer releases will be free. Personal and commercial use, including organizational deployment without a per-user or per-device license limit, is permitted. No WavePlan subscription, paid activation key or subscription to Annolyzer is required for this release.

You may use Annolyzer in commercial recordings, professional analysis, mixing, mastering and other lawful work without owing us royalties on that work. This does not grant rights to other people's recordings or other third-party material.

3. Host and installation

A compatible plugin host is required. Its license is separate from this Agreement. Installation or updates through The Mix Bus Plugin Manager do not merge Annolyzer's license with the manager's license or require a paid license merely because a manager is used.

Network access may be required to obtain installation packages and updates. This does not create a subscription requirement for the installed Annolyzer software.

The Mix Bus — Common End User License Agreement

Agreement version: 1.0
Effective date: 10 September 2026

1. License grant and commercial use

Subject to this Agreement, we grant you a non-exclusive, worldwide, royalty-free license to download, install, back up and execute the Covered Release on supported platforms. This license is perpetual, subject to the termination provisions in section 11.

Personal, educational, professional, commercial and business use is permitted. There is no per-user, per-device or organizational deployment limit imposed by this software license. A separate service may have account, capacity or usage limits disclosed under its own terms.

An organization may deploy copies internally and allow its employees and contractors to use them for its operations, provided those users comply with this Agreement. That internal deployment is not prohibited redistribution.

Except for the sharing expressly permitted in section 4 or transfers required by applicable law, the license is non-transferable and does not allow sublicensing. We reserve rights not expressly granted, subject to sections 5 and 9.

2. This release is free; future pricing and terms are reserved

The Covered Release is supplied to you without a software license charge. Your continued permitted use of the copy supplied under this Agreement has no time limit, recurring software license fee or later purchase requirement. It is not a trial.

Unless the product schedule identifies an account or service requirement, no subscription or activation key is required to exercise this software license. A separate service requirement is not removed by the perpetual license to this release.

We reserve the right to change pricing, availability and license terms for future distributions of the Software, including future releases, updates, upgrades and features of the same product. We may charge a purchase price, an upgrade fee or a subscription for future offerings. We do not have to create a separate product, use a different name or technology, or label an offering “Pro” to do so. Any new price and terms must be disclosed before the relevant purchase or acceptance.

This reservation does not impose a charge on, expire or replace the license you already received for the Covered Release. A later distribution of the same version under different terms does not change your existing rights. Future offerings are optional and are not included in this grant unless we expressly provide them under their own applicable license.

A perpetual license is not a promise of continued hosting, download availability, maintenance, technical support, security updates or compatibility with future systems. We may stop offering a release for download, subject to applicable law and any separate commitments. Any obligations we cannot exclude by law remain unaffected.

3. Accounts, subscriptions and connected services

If the product schedule requires a separate account or subscription, you must maintain a qualifying account or subscription to use the associated services. A free plan qualifies only where the schedule and the service’s current published terms allow it. No unlimited or permanently free cloud storage, bandwidth or hosted service is granted by this Agreement.

Service charges, plan allowances, renewal, cancellation, suspension, data retention and service availability are governed by the separately supplied service terms and applicable law. The service terms govern that service, not the price or duration of the binary license granted here.

Losing access to a service does not by itself terminate this software license, but functions that depend on that service may become unavailable. We do not promise that every product has useful offline functionality. Service changes remain subject to the applicable contract, notice obligations and mandatory legal rights.

Software installed, hosted or managed through the Software may have its own license. This Agreement does not grant rights to third-party plugins, operating systems, accounts or separately licensed products.

4. Copies, sharing and distribution

You may make copies for permitted use, internal deployment and backup. You may also share an unmodified, complete official distribution package without charging for it, provided you include this Agreement, the applicable product schedule and all accompanying notices, do not imply our endorsement, and do not purport to license it on our behalf. Each recipient receives their license from us under the supplied Agreement.

Without our written permission, you must not sell copies or access to copies, rent or lease the Software, distribute it for a fee, or incorporate it into a third-party installer, software bundle or distribution service that repackages it. An organization’s internal deployment package used only as permitted by section 1 does not require separate permission. A directory linking to our official product page is not redistribution of the binary.

This section does not prevent you from charging for your own professional services or work created using the Software. Redistribution rights granted by applicable law or a third-party license are preserved under sections 5 and 9.

5. Proprietary restrictions and exceptions

Except as expressly permitted by this Agreement, our written permission, applicable law that cannot be overridden by contract, or an applicable third-party license, you must not:

  • Decompile, disassemble, reverse engineer or attempt to derive the Software’s source code.
  • Modify, adapt or create derivative works of the Software.
  • Remove or alter copyright, trademark, attribution or license notices.
  • Sublicense or redistribute the Software other than as allowed by section 4.

These restrictions concern the Software itself, not normal use of its features. Creating settings, presets, mappings, annotations, recordings or other user documents through supported functionality is permitted. Any mandatory rights relating to backup, interoperability, error correction or security testing remain unaffected.

6. Ownership and third-party components

The Software is licensed, not sold. We retain ownership of the original code, designs and other intellectual property that we own in the Software. Third-party components, frameworks, libraries, trademarks and other materials remain owned by their respective rights holders. We do not claim ownership of them.

A release may contain third-party components and platform-specific libraries. Their applicable notices and license terms accompany the relevant distribution or are otherwise provided as required by those licenses. The product schedule is not a complete dependency inventory.

Nothing in this Agreement overrides rights granted directly under an applicable third-party license, including any copying, modification, redistribution, source-access or relinking rights it provides. Where a restriction here conflicts with such a right, the third-party terms prevail for that component to the extent of the conflict.

This Agreement does not grant a standalone license to a third-party framework beyond the rights its owner provides. Different platforms or editions may use different technologies; that does not change your rights in a covered release or alter our obligations to third-party licensors.

7. Your work, data and privacy

You retain whatever rights you hold in material you create, process or manage with the Software. This software license gives us no ownership of your recordings, compositions, presets, controller mappings, annotations, project files or other content, and imposes no royalty on that work. Rights in third-party content remain with their owners.

Where you request connected functionality, information and files may be processed as described in the relevant product documentation, applicable service terms and privacy notice. This Agreement is not a blanket consent to unrelated data collection or a substitute for a required privacy notice or consent.

You are responsible for having permission to use the content, plugins and services you choose. Keep appropriate independent backups, particularly when synchronizing or processing important files. This recommendation does not diminish any statutory right or any obligation we owe you under applicable law or a separate service contract.

8. Updates, support and changes to terms

Unless we separately agree otherwise or applicable law requires otherwise, this software license does not include a service-level commitment or an obligation to supply future updates, support or compatibility fixes. Update behavior and controls are described in the relevant product documentation.

No future update, upgrade or release is included merely because you hold this license. Each later release is governed by the terms supplied for that release; it may be free or paid. If we choose to use these common terms again, its own product schedule must identify that release. This does not create an entitlement to any subsequent release.

New prices and materially different terms must be presented before the relevant purchase or acceptance and must not be silently accepted through an automatic update. Posting new terms on a website alone does not replace the Agreement governing a copy you already received.

Declining an update or new terms does not remove your existing license, but continued compatibility with operating systems or connected services is not guaranteed. An optional paid release does not impose a charge on continued licensed use of the Covered Release.

9. Mandatory rights

Nothing in this Agreement excludes, restricts or modifies any right, guarantee, remedy, liability or protection that cannot lawfully be excluded, restricted or modified. This includes applicable rights under the Australian Consumer Law, mandatory copyright exceptions and mandatory protections available in your jurisdiction.

If such a right or protection applies, it prevails over any inconsistent wording in this Agreement. In particular, the warranty and liability provisions below are subject to this section in full.

10. Warranty and liability

Subject to section 9, the Software is supplied “as is” and “as available.” To the extent permitted by law, we disclaim warranties and conditions not expressly stated in this Agreement, including implied warranties of merchantability and fitness for a particular purpose. We do not promise uninterrupted or error-free operation or that the Software will meet every requirement.

To the maximum extent permitted by law, and subject to section 9, we are not liable for indirect or consequential loss arising from use of, or inability to use, the Software, including lost profits, business interruption or loss of data to the extent such loss is indirect or consequential. This applies even if we were advised of the possibility of that loss.

These exclusions do not apply to fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or any liability that cannot lawfully be excluded. This Agreement does not impose a zero-dollar liability cap merely because the Software is free. Any direct loss or other liability not lawfully excluded remains subject to applicable law.

11. Duration and termination

You may stop using the Software at any time and end this Agreement by removing copies under your control, except copies you are legally entitled or required to retain. Uninstalling the Software does not cancel a separate service subscription; use the cancellation process for that service.

We may terminate this software license for a material breach of this Agreement. Where the breach can be remedied, we will give written notice describing it and at least 30 days to remedy it before termination. Where a material breach cannot be remedied, we may terminate by written notice explaining the grounds, subject to applicable law.

We will not terminate solely because you use the Software commercially, we stop distributing it, we charge for future distributions or releases, or a separate service subscription ends. Service suspension is governed by the separate service terms.

After valid termination, cease use and remove copies as required by law, except copies you are legally entitled or required to retain. Termination does not transfer ownership of your work to us, erase accrued rights, or determine what happens to separately hosted data. Provisions intended to survive, including ownership, mandatory rights and lawful liability limits, continue to apply.

12. Governing law and general terms

This Agreement is governed by the laws of Queensland, Australia. Courts in Queensland have non-exclusive jurisdiction. This does not deprive you of mandatory protections or the right to bring proceedings in another forum where applicable law provides that right.

If a provision is invalid or unenforceable, it is ineffective only to that extent and the remaining provisions continue, subject to applicable law. Failure to enforce a provision is not a waiver of it.

The applicable product schedule prevails over these common terms only for the specific matters it expressly addresses. Mandatory rights and applicable third-party licenses retain the priority given by sections 6 and 9. Together, the common terms and schedule form the software license; separately accepted service terms govern the services they identify. Nothing here excludes liability for misleading representations or other liability that cannot lawfully be excluded.
